DEPARTMENT OF CIVIL AND CORPORATE LAW

The Civil and Corporate Law Department of GBLEX & PARTNERS is built on the experience developed, since 1974, by Studio Legale Gatto, now integrated into a multidisciplinary structure. Its professionals provide legal assistance to companies, corporate groups and shareholders in the management of business activities, adopting an approach focused on value protection, risk prevention and support for strategic decision-making.

The Firm advises both domestic and international clients, including foreign investors, multinational groups and companies operating or intending to operate in the Italian market. In such contexts, the Firm also works in coordination with foreign advisors and law firms on cross-border transactions and matters.

DEPARTMENT OF TAX LAW

The Tax Law Department of GBLEX & PARTNERS is built on over forty years of professional experience, now integrated into a multidisciplinary structure specialized in tax legal advisory and assistance to taxpayers in both administrative and judicial proceedings. The Department advises companies and individuals on corporate taxation, tax and wealth planning (including estate planning), tax due diligence and compliance procedures in dealings with the Tax Authorities, including advance rulings, refunds, settlement procedures, self-correction mechanisms and voluntary disclosure.

Its litigation practice includes defense and representation before the Tax Justice Courts and the Supreme Court (Court of Cassation), as well as the management of pre-litigation and collection phases and, where necessary, the protection of taxpayers in criminal proceedings related to tax offenses. Particular attention is given to international tax matters (double taxation, permanent establishment, transfer pricing and OECD principles), also through assistance in mutual agreement procedures and arbitration.

DEPARTMENT OF BUSINESS CRIMINAL LAW & COMPLIANCE

The Business Criminal Law & Compliance Department of GBLEX & PARTNERS brings together criminal law expertise developed over a long-standing professional track, now integrated into a multidisciplinary structure focused on the prevention and management of corporate risk. The Department’s professionals provide legal defense within criminal proceedings and assist companies, corporate groups, governing bodies, executives and control functions in the design and implementation of compliance frameworks, as well as in protection within criminal and quasi-criminal proceedings related to business activities. The practice covers, among others, corporate, insolvency and tax offenses, as well as criminal aspects related to workplace safety, environmental law, privacy and data management, also through targeted audits, training, internal procedures and support for strategic decision-making.

A core component of the Department’s activity concerns corporate criminal liability under Legislative Decree 231/2001: from risk mapping to the drafting and updating of organizational models, codes of ethics and disciplinary systems, through to support for Supervisory Bodies and the management of whistleblowing reports and information flows. In critical situations, the Department supports clients in conducting internal investigations, managing relations with authorities and supervisory bodies, defining defense strategies and implementing remediation plans, with a pragmatic approach focused on business continuity.

DEPARTMENT OF EMPLOYMENT LAW

The Employment Law Department of GBLEX & PARTNERS is dedicated to the management of employment and industrial relations matters, with a strongly solution-oriented approach: delivering practical responses to workforce organization and management needs, preventing disputes, and supporting strategic HR decisions.

The Department assists employers, corporate groups, HR functions and management throughout all phases of the employment relationship: from the structuring and review of contracts, policies and incentive schemes to the management of disciplinary proceedings, transfers and terminations, including in complex scenarios involving senior executives. Particular attention is given to corporate reorganizations and extraordinary transactions (including those with employment impacts), such as workforce reduction procedures, business transfers and the integration of labour aspects into M&A transactions.

On the litigation side, the Firm provides assistance before all competent authorities, as well as in the management of pre-litigation and settlement phases, adopting an approach that combines judicial protection, negotiation and business continuity.
